Failing amicable resolution, such disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration in Noida/Gautam Buddh Nagar, Uttar Pradesh, India, and the arbitral award shall be final and binding on both parties.
Subject to the above, the courts at Gautam Buddh Nagar, Uttar Pradesh shall have exclusive jurisdiction over any matters not resolved through arbitration.
